NetGain Establishes Board of Advisors

Bill Dean, Scott Yancey and Bill Washecka Appointed to Board Focused on Honing Company Strategy

RESTON, Va., (February 22, 2005) – NetGain Communications (NetGain), a telecommunications consultancy and master agency that specializes in providing medium and large businesses with superior telecommunications solutions, today announced the formation of a new board of advisors, as well as the appointment of the board’s three initial members – Bill Dean, president and chief executive officer, M.C. Dean, Inc.; Scott Yancey, senior executive office and chief financial officer, In-Q-Tel; and Bill Washecka, chief financial officer of Prestwick Pharmaceuticals, Inc.

Dean, Yancey, and Washecka boast nearly 80 years of combined business experience in the telecommunications and consulting industries and will leverage this expertise to provide NetGain with strategic guidance and support. NetGain executives will work with the new board of advisors to evaluate corporate strategy, as well as to assess opportunities and plans for continued organizational growth. Further, NetGain plans to leverage the industry acumen of its board members to evaluate prospective partnership agreements and new service offerings.

About Bill Dean

Bill Dean is the president and chief executive officer of M.C. Dean, Inc., a leading multi-disciplined technical services contractor in the Washington D.C. metropolitan area. In this capacity, he led the firm’s expansion throughout the region and in Europe, as well as established the spin-off converged services provider OpenBand, a converged services provider for voice, video and data/internet services. Dean owns nearly 20 years of experience in the telecommunications, power, and electronics systems engineering fields. Prior to joining M.C. Dean, Dean served as a program manager for Millidyne, Inc., a Raleigh, NC-based wireless communications firm where he oversaw programs in more than 25 markets worldwide, including cities in the United States, Sweden, Canada, and the Untied Kingdom. Dean holds a bachelors degree in electrical engineering from North Carolina State University, as well as numerous industry technical certifications. Dean is active in a number of industry and regional business organizations.

About Scott Yancey

Scott Yancey is the senior executive officer and chief financial officer at In-Q-Tel, a venture capital enterprise located in Arlington, VA that invests in technologies that benefit the intelligence community. Yancey boasts more than 30 years of experience with financial and technology firms. He has served as a chief financial officer for more than a decade at both publicly-traded and venture-backed private companies, including InPhonic, Inc., a distributor of wireless products and services marketed and sold to customers over the internet; WorldStor a data storage software and services provider; Network Access Solutions, a provider of broadband telecommunications services; and Cable & Wireless USA, a telecommunications service provider. Yancey began his career with Price Waterhouse (now PricewaterhouseCoopers) in Washington, DC. Yancey is a certified public accountant (CPA) and a graduate of the College of William & Mary with a bachelor of sciences degree in accounting. In addition to his advisory role with NetGain, Yancey serves as an advisor to several technology concerns in Northern Virginia.

About Bill Washecka

Bill Washecka is the chief financial officer of Prestwick Pharmaceuticals, Inc., a manufacturer of drugs for disorders of the central nervous system. Before joining the pharmaceutical industry, Washecka spent more than 30 years working with high-growth technology companies. Washecka served as senior executive vice president and chief financial officer at USinternetworking Inc, a publicly held application service provider. Earlier in his career, Washecka held the position of senior partner at Ernst & Young, where he established and managed the high technology and emerging business practice in the Mid-Atlantic area. Additionally, Washecka is a co-founder of the Mid-Atlantic Venture Capital Conference. Washecka received a BS degree in accounting from Bernard Baruch College of New York; and Kellogg Advanced Management Program. He is a CPA in Maryland, Virginia, the District and New York.

Earlier in his career, Callowhill held various sales and marketing positions at a range of communication companies, including Bell Atlantic, Nortel Networks and Motorola.
